1. Introduction and Acceptance

 

These Terms and Conditions of Sale ("Terms") govern the use of the VDV Commerce website (https://www.google.com/search?q=VDVCommerce.com) and the purchase of any goods from us. By placing an order or registering as an affiliate, you agree to be bound by these Terms.

  • 1.3 Applicable Law: These Terms shall be governed by the laws of the Republic of South Africa, including the Consumer Protection Act (CPA) and the Electronic Communications and Transactions Act (ECTA).

 

2. Goods and Product Information

 

  • 2.1 Product Accuracy: While VDV Commerce strives for accuracy, we do not warrant that descriptions, pricing, or other content on the site is error-free. All products are sold "as is," subject to the consumer's rights under the CPA regarding quality and fitness for purpose.

  • 2.2 Materials: Products sold as "Luxury Look" watches and rings are typically made of Alloy (zinc, brass, or other non-precious metal alloys) and are priced accordingly to reflect this value.

 

3. Pricing, Orders, and Payment

 

  • 3.1 Offer and Acceptance: Placing an order constitutes an offer to buy the goods. The contract is only formed when VDV Commerce dispatches the goods and sends a confirmation email. VDV Commerce reserves the right to cancel any order if stock is insufficient or if an item is priced incorrectly.

  • 3.2 Payment: Payment is due in full via our secure payment gateway ([e.g., PayFast/Shopify Payments]) before any goods are dispatched. Funds must reflect in our account before courier services are booked.

  • 3.3 Delivery Fees: Delivery is governed by our tiered Shipping Policy, which is available at checkout. The customer acknowledges that shipping fees are based on geographical location and order value.

 

4. Delivery and Risk

 

  • 4.1 Delivery Period: Orders will be executed within 30 days of the order date, unless otherwise agreed (ECTA Sec. 46). Customers will be notified immediately of any delays.

  • 4.2 Risk: The risk of loss or damage to the goods transfers to the customer upon delivery of the product to the customer's stated address or safe collection point.

 

5. Returns, Refunds, and Warranty (CPA & ECTA)

 

This section is governed by our dedicated Refund and Returns Policy which is deemed incorporated into these Terms.

  • 5.1 Implied Warranty (Defective Goods): All goods carry an implied warranty for 6 months against defects. If goods are defective, the customer may elect for a repair, replacement, or full refund. VDV Commerce will cover the return shipping costs for defective goods.

  • 5.2 Cooling-Off Period (Change of Mind): Customers are entitled to cancel and return goods for any reason within 7 calendar days of receipt (ECTA Sec. 44). The customer is responsible for the direct cost of return shipping.

  • 5.3 Restocking Fee: A non-waivable 10% restocking fee applies to all goods returned due to the customer exercising the cooling-off right (buyer's remorse), to cover administrative and processing costs.

  • 5.4 Final Sale: For hygiene and safety reasons, earrings, worn watches/straps, and products missing seals are Final Sale and not eligible for return unless defective.

 

6. VDV Commerce Affiliate Partnership Program

 

This section governs participation in our "Style. Share. Earn." commission program.

  • 6.1 Enrollment: Enrollment requires a confirmed purchase from VDV Commerce and acceptance of these Terms.

  • 6.2 Commission: Affiliates earn a fixed commission of 8% per watch sold using their unique code. Commission rates on other products may vary.

  • 6.3 Tracking: Sales are tracked using the unique code entered at checkout. VDV Commerce is not responsible for commissions lost due to customers failing to use the code or clearing their cookies.

  • 6.4 Payouts: Commissions will be calculated and paid [Monthly/Bi-Monthly] via Instant EFT.

  • 6.5 Termination: VDV Commerce reserves the right to terminate an affiliate's participation immediately for fraudulent activity, misuse of the brand, or violation of these Terms.

 

7. Intellectual Property (IP)

 

All content, logos, images, and designs on https://www.google.com/search?q=VDVCommerce.com are the exclusive property of VDV Commerce (A Patrick VDV Company) and are protected by copyright law. Users may not reproduce, copy, or exploit any content without express written permission.

 

8. Limitation of Liability and Indemnity

 

VDV Commerce is not liable for any direct or indirect loss arising from the use or inability to use this website or products, except where such liability cannot be excluded under South African law.

 

9. Dispute Resolution

 

Any disputes arising from these Terms will be subject to the jurisdiction of the courts of South Africa. Customers are encouraged to first attempt resolution by contacting our customer service email: PatrickVDVmusic@gmail.com.
